1. Welcome & Agreement to Terms

These Terms of Service ("Terms," "Agreement") establish the legal relationship between you and Judy, Inc. ("Judy," "we," "our," or "us") regarding your use of the Judy mobile application and associated services (collectively, "Services" or "the App").

Judy delivers AI-driven nutritional guidance, weight management support, activity tracking, and personalized wellness recommendations to help users develop sustainable, healthy habits. It is important to understand that Judy does not function as a medical provider, healthcare professional, or licensed practitioner. Using our Services does not create any professional-client or doctor-patient relationship.

By accessing or continuing to use Judy, you acknowledge that you have reviewed, comprehend, and consent to be legally bound by these Terms. If you do not accept these Terms, you are not authorized to use the Services.

You must be at least eighteen (18) years of age and possess the legal authority to enter into binding agreements. By using Judy, you confirm you meet these requirements. If we discover a user is below the minimum age without appropriate parental or guardian authorization, we will close the account and delete associated personal information, unless legal obligations require retention.

During account creation, you will be asked to review and accept both these Terms and our Privacy Policy. Without acceptance, you cannot establish an account or access the Services.

4. What Judy Provides

Judy offers AI-powered tools, tracking capabilities, insights, and recommendations designed to assist you in monitoring activities, logging nutrition, establishing goals, and receiving informational guidance. These Services support your wellness objectives but do not replace professional medical, dietary, or fitness consultation.

Important Limitations of AI Coach: The AI Coach is not a substitute for professional medical, nutritional, or mental health advice. Our AI Coach cannot diagnose medical conditions or prescribe treatments, cannot provide emergency medical assistance, may generate inaccurate, incomplete, or outdated information, should not be relied upon exclusively for health-related decisions, and does not create any professional relationship.

You should always consult qualified healthcare professionals before implementing changes that may impact your health or well-being. IF YOU THINK YOU ARE HAVING A MEDICAL EMERGENCY, CALL 911 OR SEEK IMMEDIATE MEDICAL ATTENTION.

Health Warning for At-Risk Individuals: Judy is not appropriate for individuals diagnosed with eating disorders (including but not limited to anorexia nervosa, bulimia nervosa, or binge-eating disorder) or other serious medical or psychological conditions that could be negatively affected by dietary monitoring, weight-loss programs, or activity tracking. If you have or believe you may have such conditions, do not use Judy. Instead, seek immediate guidance from a licensed medical doctor, registered dietitian, or qualified mental health professional.

5. Your Responsibilities as a User

You are responsible for everything that occurs under your account. Each account is personalized to you, so do not share accounts or passwords. Notify us immediately at contact@WithJudy.com if you suspect unauthorized account access or any security breach.

When using Judy, you agree to supply accurate and current information, refrain from using the Services for unlawful, harmful, or offensive purposes, protect the confidentiality of your account credentials, and engage with Judy respectfully.

6. Your Data and Content Rights

You maintain ownership of all data and content you submit to Judy. By using the Services, you grant us a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, transferable, sublicensable license to process, store, and utilize your User-Generated Data exclusively for the purposes of delivering and enhancing our Services. This license does not transfer ownership of your data to us.

7. Understanding AI Technology and Its Limitations

Judy's AI Features depend on large language models and third-party AI service providers (such as Gemini and Anthropic). While we aim to deliver valuable insights, AI outputs may contain errors, outdated information, or "hallucinations." You must independently verify important information and should not rely exclusively on AI-generated suggestions, particularly regarding health, nutrition, or exercise decisions.

Always consult qualified professionals before implementing health-related changes. You acknowledge that using AI-generated recommendations involves inherent uncertainties and agree to assume full responsibility for your decisions.

8. Consent for Specific Features

Certain functionalities, such as voice input or image uploads, require your explicit opt-in consent before activation. You may revoke this consent anytime through your account settings or by contacting us, though withdrawal may limit access to certain features.

9. Data Protection, Storage Duration, and Cross-Border Transfers

We take your privacy seriously. Our Privacy Policy describes our practices for collecting, using, protecting, and transferring your Personal Data, as well as retention periods. You may request deletion of your data by contacting contact@WithJudy.com.

10. Ownership and Intellectual Property

Except with respect to your User-Generated Data, you agree that we own all rights, title, and interest in the Services, including all intellectual property rights. You may not remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Services.

11. Payment Terms and Subscription Plans

When purchasing your subscription, you may be presented with different plans or options. Subscriptions automatically renew at the end of each Billing Period at our then-current price unless you cancel before the renewal date.

You may cancel anytime through Judy's settings screen or, if you subscribed via Apple App Store or Google Play, through that store's subscription management interface. You retain access to paid features until the applicable term expires.

Subscription fees are generally non-refundable, and partial billing periods are not prorated, except where mandatory consumer protection laws require otherwise. EU/UK consumers may withdraw from a new subscription within fourteen (14) days of purchase.

12. Service Reliability and Modifications

While we work to maintain reliable operation, we cannot guarantee uninterrupted or error-free service availability. We will make reasonable efforts to provide advance notice of planned maintenance.

13. Account Termination

You may delete your account at any time through your account settings. We may suspend or terminate your account if you breach these Terms or engage in conduct that harms the Services or other users. Upon termination, your data will be managed according to our Privacy Policy and applicable laws.

14. Warranties and Liability Limitations

TO THE EXTENT PERMITTED BY APPLICABLE LAW, JUDY'S SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. We do not guarantee the accuracy, completeness, or reliability of AI-generated content or any other aspect of the Services.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE TO YOU FOR MORE THAN THE GREATER OF: (1) the total amount you paid for Services in the twelve (12) months preceding the event giving rise to liability, (2) $100, or (3) the statutory damages prescribed by a statute under which such claim arises.

15. Appropriate Use Standards

Judy is designed for typical, personal, human-operated use. You agree not to automate, script, or outsource interactions with the App; connect Judy to unauthorized APIs or bot frameworks; share, resell, or sublicense your account; or participate in activities that degrade performance for other users.

16. General Information and Coaching Disclaimer

All information, insights, and recommendations produced by Judy's AI features serve solely as general fitness and nutrition guidance and do not constitute medical, nutritional, psychological, or professional advice. You assume full responsibility for any actions taken based on Judy's content.

17. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Delaware, United States, except where local consumer protection laws in your jurisdiction mandate otherwise.

Before filing an arbitration or lawsuit, you agree to try in good faith to resolve any dispute informally by contacting Judy, Inc. Except where prohibited by law, disputes shall be resolved through binding arbitration conducted by the American Arbitration Association (AAA).

You and we each agree that any proceeding will be conducted only on an individual basis and not in a class, collective, or representative action. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL.

If you are a consumer in the EEA or UK, this Section does not apply to you.

18. Referral Program Terms

Judy may operate a Referral Program allowing eligible users to invite new users and receive Rewards. The program is currently available exclusively in the United States, Canada, the United Kingdom, France, and Germany. Availability, Reward types, and participation criteria may vary.

19. Accessibility, Translations, and App Store Terms

We strive to make these Terms accessible to all users. Translations may be provided for convenience, but in case of any discrepancy, the English version prevails (except where prohibited by local law).

20. User Suggestions and Feedback

If you provide feedback, ideas, or suggestions to Judy, you grant us a non-exclusive, worldwide, royalty-free license to use and incorporate them into our products and services without any obligation to compensate or credit you.

21. Evolving AI Regulations

We recognize that artificial intelligence regulations and legal frameworks continue to develop. Judy commits to complying with emerging AI-specific legal requirements and adapting our practices accordingly.

22. Updates to These Terms

We may revise these Terms as our Services evolve, laws change, or new AI regulations emerge. Significant changes will be communicated to you, and continued use after the effective date signifies your acceptance.

23. Additional Legal Provisions

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision does not constitute a waiver. These Terms and our Privacy Policy constitute the entire agreement between you and Judy regarding the Services.
